Acceptance of Terms
These Terms of Service ("Terms") apply to all quotations, orders, samples, and supply of products by Cilveo ("we", "us", "our") to business customers ("you", "Buyer"), including brands, wholesalers, distributors, importers, retailers, and salons.
By requesting a quotation, placing an order, approving a sample, or making a payment, you confirm that you are acting for a business purpose and that you accept these Terms.
If a written sales contract or confirmed Proforma Invoice differs from these Terms, the signed contract or Proforma Invoice prevails on the points where they differ.
Orders & Quotations
- Quotations. Quotes are valid for 30 days unless stated otherwise. Raw material prices, especially for human hair, may change after the validity period.
- Minimum order quantity. MOQs depend on product type, customization level, and packaging. Standard items support small-batch quick-turnaround orders; customized items may require higher MOQs.
- Order confirmation. An order becomes binding when we issue a written confirmation (Proforma Invoice or sales contract) and receive the agreed deposit.
- Changes and cancellation. Requests to change or cancel a confirmed order must be sent in writing. Once materials are purchased or production has started, we may charge for incurred costs, and customized goods cannot be cancelled without compensation.
Customization, OEM & ODM
We support OEM (production to your specifications) and ODM (design and development by us for your brand) across wigs, hair extensions, hairpieces, hair accessories, and false eyelashes.
-
Step 1
Brief & specification
You provide sketches, references, or technical requirements: hair texture, lace type, density, length, color, curl, band, and more.
-
Step 2
Sampling & prototyping
We produce a sample for your review. Sample fees and lead times are quoted separately and may be credited against a confirmed bulk order.
-
Step 3
Written approval
Bulk production starts only after you approve the sample, packaging, and labeling in writing.
-
Step 4
Mass production
Production follows the approved sample, with quality checks at every stage before shipment.
Natural materials such as human hair and mink fiber vary slightly in color, texture, and shade. Handmade products may show minor variations in size or density. Reasonable tolerances that are consistent with the approved sample are not considered defects.
Pricing & Payment
Prices are factory-direct and quoted in the currency stated on the quotation (typically USD), exclusive of freight, insurance, import duties, and taxes unless the agreed trade term states otherwise.
-
Deposit
Paid on order confirmation to secure materials and production slot.
-
Production
We produce, inspect, and share photos or videos for your review.
-
Balance
Paid before shipment, or as otherwise agreed in the contract.
- The deposit percentage and accepted payment methods (such as bank transfer / T/T) are stated in your Proforma Invoice.
- Bank charges are the Buyer's responsibility unless agreed otherwise.
- We may suspend production or shipment while payment is overdue. Goods remain our property until full payment is received, to the extent permitted by law.
Production & Shipping
- Lead time. Lead times are estimates counted from deposit receipt and written sample approval. They vary with product complexity, order volume, and season.
- Trade terms. Shipments are arranged under Incoterms® such as EXW, FOB Qingdao, CIF, or DDP, as stated in your contract. Risk of loss passes to the Buyer according to the agreed term.
- Shipping methods. We ship worldwide by express courier, air freight, or sea freight, from small-batch parcels to full container loads.
- Customs and import. The Buyer is responsible for import licenses, duties, VAT, and local regulatory requirements in the destination country unless DDP is agreed. We provide the commercial documents reasonably required for clearance.
- Delays. We will notify you promptly of any expected delay. Delays caused by carriers, customs authorities, or late Buyer approvals do not constitute a breach by us.
Intellectual Property & Private Label
- Your materials. Logos, trademarks, artwork, packaging designs, and specifications you supply remain your property. You grant us a limited license to use them only to fulfil your order.
- Your warranty. You confirm that you own or are authorized to use all materials you submit and that they do not infringe any third-party rights. You will indemnify us against claims arising from a breach of this warranty.
- Private label. Custom labels, woven tags, embroidered logos, and bespoke packaging made for you will not be sold to or used for third parties.
- Our designs (ODM). Designs, patterns, molds, and styles developed by us remain our property unless transferred in a signed agreement. Exclusive rights to a design may be agreed in writing.
- Website content. Our brand name, logo, photography, and website content may not be copied or used without our written permission.
Quality & Compliance
We apply strict quality control at every production stage and inspect goods before shipment. Buyers may request additional pre-shipment checks or third-party inspection at their own cost.
- Formaldehyde-free adhesive options are available for eyelash products.
- We support compliance with EU, US, and other cosmetic safety standards, and can assist with cruelty-free, vegan, and eco-friendly material certifications on request.
- The Buyer is responsible for confirming that products, labeling, and claims meet the regulations of the target market, including product registration, labeling language, and safety assessments, unless we have expressly agreed to provide them.
- Products are intended for professional resale and personal cosmetic use. The Buyer must provide proper usage and patch-test guidance to end users, especially for adhesives and dyed hair.
Claims & Returns
- Inspection on arrival. Please inspect goods promptly on receipt. Report shortages, wrong items, or visible damage in writing within 7 days of delivery, and quality defects within 15 days, with clear photos or videos and the order number.
- Verified defects. If a defect or non-conformity with the approved sample is confirmed, we will, at our choice and as agreed with you, repair, replace, or credit the affected goods.
- Not covered. Damage from improper use, washing, coloring, heat styling, or storage; normal wear; natural variations within tolerance; and goods altered after delivery.
- Returns. Returns require our prior written approval. Customized and private label goods are non-returnable unless defective.
Warranty & Limitation of Liability
We warrant that goods will conform to the approved sample or agreed specification at delivery. Except as stated in these Terms or your contract, we disclaim all other warranties to the extent permitted by law.
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, or consequential losses, including loss of profit, loss of business, or loss of goodwill. Our total liability for any claim relating to an order is limited to the price paid for the affected goods under that order.
Nothing in these Terms excludes liability that cannot be excluded by law, such as liability for fraud or willful misconduct.
Confidentiality
Each party will keep confidential all non-public information received from the other, including designs, specifications, pricing, customer lists, and business plans. This information may be used only to perform the cooperation and may not be disclosed to third parties except to employees, subcontractors, or advisers who need it and are bound by similar duties, or where required by law. This obligation continues after the cooperation ends.
Force Majeure & Termination
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, strikes, port closures, or serious disruption of raw material supply or transport. The affected party must notify the other promptly and make reasonable efforts to resume performance.
Either party may terminate an order or agreement by written notice if the other party commits a material breach and does not remedy it within 30 days of notice. Termination does not affect accrued payment obligations or provisions that by nature survive, including intellectual property, confidentiality, and liability.
Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. The parties will first try to resolve any dispute through friendly negotiation. If it cannot be resolved within 60 days, the dispute will be submitted to the competent court in Qingdao, Shandong Province, unless a different forum is agreed in a signed contract.
We may update these Terms from time to time. The version in force when your order is confirmed applies to that order. If any provision is found unenforceable, the remaining provisions continue in effect.
